Quotations and Orders
- Written quotations are valid for 30 days from the date of issue unless otherwise stated.
- Final pricing depends on confirmed drawings, materials, access, programme, and site-specific requirements.
- An order is accepted only when confirmed in writing by both parties or when work is expressly authorised to commence.
- We reserve the right to decline work that falls outside our capabilities, certification scope, or safety requirements.
Client Responsibilities
Where applicable, you agree to:
- provide accurate project information, drawings, and site access;
- obtain necessary permissions, permits, and third-party approvals;
- ensure a safe working environment in accordance with applicable regulations;
- make timely payments in accordance with agreed terms;
- notify us promptly of any changes that may affect scope, cost, or programme.
Health, Safety, and Site Conditions
We operate in accordance with applicable UK health and safety legislation and maintain documented procedures for workshop and on-site work. Variations in site conditions, concealed defects, or client-directed changes may affect delivery times and cost.
Payment Terms
Payment terms will be stated in your quotation or contract. Unless otherwise agreed, invoices are payable within 14 days of issue. We may charge interest on overdue sums in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Warranties and Quality
We warrant that services will be performed with reasonable skill and care and in accordance with agreed specifications and applicable standards. Any warranty claim must be reported promptly in writing with sufficient detail to allow inspection and assessment.
Warranty does not cover defects arising from misuse, unauthorised modification, normal wear, client-supplied materials, or conditions outside our control.
Limitation of Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
Subject to the above, our total liability arising from any contract or website use is limited to the amount paid by you for the specific project giving rise to the claim, except where a higher limit is required by law or expressly agreed in writing.
We shall not be liable for indirect or consequential loss, including loss of profit, business interruption, or loss of anticipated savings, except where such loss cannot be excluded by law.
Insurance
We maintain appropriate public liability and professional indemnity insurance for our operations. Certificates of insurance are available on request for contracted projects.
Intellectual Property
All website content, including text, images, branding, layout, and design, is owned by or licensed to KHODAK Metal Solution and is protected by intellectual property laws. You may not reproduce or distribute website content without our prior written consent.
Unless otherwise agreed, we retain rights in our methodologies, templates, and pre-existing know-how. Project-specific drawings and deliverables will be addressed in the project contract.
Confidentiality
We treat client project information as confidential and use it only for the purpose of delivering services, unless disclosure is required by law or authorised by you.
Cancellation and Variations
Cancellation, postponement, or variation of ordered work must be agreed in writing. You may be liable for costs already incurred, committed materials, and reasonable demobilisation expenses.
Force Majeure
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including severe weather, utility failures, supply chain disruption, industrial action, or regulatory restrictions.
Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms or use of our website, without prejudice to mandatory consumer rights where applicable.
